BENEFIT Program Conditions (hereinafter only BENEFIT conditions)

1. BENEFIT program of EuroTel Praha, spol. s r.o.
1.1 The BENEFIT program of EuroTel Praha, spol. s r.o. (hereinafter only BENEFIT) is a program in which a subscriber can obtain BENEFIT points after he/she fulfills the conditions below. The subscriber can use the obtained BENEFIT points in the way defined in the valid BENEFIT brochure.

2. BENEFIT Conditions
2.1 EuroTel Praha, spol. s r.o. (hereinafter only EuroTel) will include a subscriber to the BENEFIT if he/she complies with the conditions below:
2.1.1 The customer has concluded an Agreement on Provision of Telecommunication Services with EuroTel and actively uses the provided telecommunication services - at least for the period of three months continuously,
2.1.2 The customer spends at least 150 minutes during a three-month (billing cycle) period, and
2.1.3 The customer is not a current EuroTel employee, and
2.1.4 The customer does not refuse - by phone or in writing - participation in BENEFIT.
2.2 Active use of services is defined for the purposes of BENEFIT as a status when the subscriber uses services provided by EuroTel and the service provision is not restricted or suspended due to reasons on the customer´s part (excluding suspension for holidays). As reasons on the customer´s part are considered - suspension of service provision on customer´s request, or as the case may be, also suspension of service provision on the part of EuroTel if the customer does not pay his/her bill, suspicion of fraud (misuse of services), or breach of other subscriber´s obligations according to the General Conditions. At the same time there may not be a termination notice to the contractual relationship between the customer and EuroTel.
2.3 The subscriber will be enrolled in the program in the month following fulfilment of the conditions.

3. BENEFIT Points
3.1 If the customer complies with the conditions for enrollment to BENEFIT (see clause 2), EuroTel will add to his/her account in EuroTel, in compliance with the chart included in the BENEFIT brochure, the appropriate number of the BENEFIT points at the beginning of each calendar month based on the customer´s previous months invoice.
3.2 BENEFIT points will be adjusted to reflect EuroTel credits on the customer´s billing invoice.
3.3 The subscriber can gain the BENEFIT points only in the number and under the conditions set by the BENEFIT conditions and/or in the valid BENEFIT brochure. The subscriber will be informed about the number of points at least once in each three calendar months.
3.4 EuroTel assigns the BENEFIT points only to the appropriate cellular number of a customer. It is possible to add the numbers of points assigned to two cellular numbers of a subscriber only under the condition that each such cellular number was assigned at least 1000 BENEFIT points.
3.5 EuroTel assigns the points to the subscriber´s account automatically, in respect to fulfillment of individual BENEFIT conditions by the subscriber. The subscriber can redeem the BENEFIT points in the way stated in the BENEFIT brochure if:
3.5.1 actively uses EuroTel services (clause 2.2),
3.5.2 paid all the payable bills for the services provided,
3.5.3 has not submitted termination notice to the contract
3.5.4 is not breaching provisions of VP or BENEFIT conditions.
3.6 If the subscriber changes his/her cellular number, or if the cellular number is changed by EuroTel, all the BENEFIT points are passed over to the new subscriber´s number.
3.7 If the cellular number is taken over by a new subscriber (see clause 13.2.4.VP) or if the cellular number is freed, the BENEFIT points are not transferred.
3.8 If the subscriber submits a termination notice to the contract, outstanding points are cancelled when the notice period expires. However if such a subscriber enters into a new contract with EuroTel within 1 calendar month from effectivity and validity of the previous contract, EuroTel can transfer the BENEFIT points gained during the validity period of the first contract for the customer.
3.9 The BENEFIT points cannot be transferred and cannot be redeemed in any other way than stated in the BENEFIT brochure.
3.10 The BENEFIT points are valid for three years from the year when they were assigned (for example all the BENEFIT points gained in 1999 are valid up to 31st December 2002). The BENEFIT points not used during the validity period are cancelled.

4. BENEFIT Committee and resolving objections
4.1 A customer is obliged to place a potential objection in writing within 30 days after he/she learns about the reason for complaining; at the same time even if the objection is placed the subscriber is not freed from the obligation to pay his/her bill by the due date.
4.2 Objections will be resolved with respect to their nature and technical or administrative demand of the placed objection, i.e.:
4.2.1 uncomplicated complaints, that do not require technical inspection, within 30 calendar days,
4.2.2 more complicated complaints, that require technical inspection, within 60 calendar days.
4.3 The complaints are dealt with by the BENEFIT Committee of EuroTel. All the decisions concerning BENEFIT, including any situation that is not covered by the BENEFIT conditions and requires interpretation, will be escalated to the BENEFIT Committee of EuroTel. The decisions of the BENEFIT Committee are final.
4.4 The BENEFIT Committee secures a right to expel a subscriber from the program if the subscriber breaches the BENEFIT Conditions or General Conditions. In such a case all the subscriber´s BENEFIT points are cancelled.

5. Common and Final Provisions
5.1 As written are considered legal transactions delivered by mail, courier or fax.
5.2 Valid BENEFIT brochure is an integral part of the BENEFIT conditions.
5.3 Should there be a mutual dispute among the General Conditions, BENEFIT conditions and BENEFIT brochure the following obligation precedence is valid:
5.3.1 General Conditions,
5.3.2 BENEFIT Conditions
5.3.3 BENEFIT Brochure.
5.4 For the purposes of the BENEFIT Conditions data and fax transfers and short text messages (SMS) are considered as telephone calls (afterwards only calls) if the context does not indicate otherwise.
5.5 Should there be any doubts whether a service was provided, then a statement of a EuroTel switch operation or system, or of an appropriate roaming partner is decisive.
5.6 EuroTel or any other supplier is not responsible for a fulfillment provided to a person that was not authorized to act on behalf of a subscriber if such a person pronounced itself to be authorized to act on behalf of the subscriber and the fulfillment was provided to the person in good will.
5.7. Redeeming of BENEFIT points could have a tax consequence for subscriber or user of telecomunication service.
5.8 BENEFIT members must allow 4-6 weeks for delivery of BENEFIT rewards, excluding airtime.
5.9 BENEFIT airtime credits will be applied to the next available bill cycle after reward processing.
5.10 The rewards presented in the BENEFIT program are valid for selection through December 31, 2001. All rewards are subject to availability and EuroTel reserves the right to substitute rewards of equal or greater value.
5.11 EuroTel reserves a right to change the BENEFIT conditions. Valid wording of the BENEFIT conditions will be available to the subscribers in EuroTel stores one business day after their effective date at latest.
5.12 EuroTel reserves the right to cancel BENEFIT with 30 days notification. All BENEFIT program points that are unredeemed at the time of program termination shall be forfeited and no reward claims shall be honored therafter.
5.13 The Czech wording of the BENEFIT conditions is obligatory.
5.14 The valid BENEFIT conditions can be looked into at EuroTel stores.
5.15 The valid BENEFIT conditions cease their effect at the moment when they are replaced by updated BENEFIT conditions.
5.16 These BENEFIT conditions become valid and effective as of 1.1.1999.

MOBILE REWARDS FROM EUROTEL
1. Customers selecting airtime rewards will receive credit on their EuroTel bills for the specified number of minutes per billing period. Only one airtime credit will apply per month. In the event of service discontinuation, all outstanding service credits will be forfeited.
2. Airtime rewards are not transferable and may be used only by the redeeming EuroTel customer on his/her mobile telephone number.
3. Airtime rewards have no cash value and cannot be applied to previous outstanding balances.
4. Airtime rewards may not be combined with other discounts, special rates, promotions or other offers unless specifically approved by EuroTel.
5. All redeemable portable phones and accessories will be provided by EuroTel and select EuroTel dealers. The specific model will be selected at EuroTel´s/dealer´s discretion based on equipment compatibility and the models available at the time of redemption.

TRAVEL REWARDS
Marriott Hotels, Resorts and Suites
Award Checks
1. Marriott Award Checks are valid at Marriott Hotels, Resorts and Suites worldwide, except where restricted by law, and may be used toward the purchase of food, beverages, or merchandise in any Marriott-owned gift shop. Award checks cannot be used for convention, group, travel industry, or tour rates.
2. It is not necessary to be a registered guest to utilize Award checks.
3. Award checks are not redeemable for cash and will be considered void if sold for cash or other consideration. Award checks may be supplemented by payment of cash, acceptable checks, or valid credit card.
4. Award checks are not replaceable if lost, stolen, destroyed, or expired.
5. Award checks are transferable and valid for 15 months from the date of issuance.
6. Award checks are issued in U.S. dollars and will be converted into local currency value at the hotel´s current exchange rate.
Travel Award Certificates
1. Marriott Travel Award certificates are valid at Marriott Hotels, Resorts and Suites worldwide, except where restricted by law. Reservations must be confirmed in advance by calling Marriott Worldwide Reservations, or by calling the hotel directly. The recipient should advise the reservations agent that they are using a Marriott Travel Award certificate and reference the Rate Program on the back of the certificate.
2. Travel Award certificates may be used to pay for the expense of a deluxe guest room, breakfast for two, and related taxes only. Travel Award certificates do not include other food, beverage, parking, service charges, gratuities and other taxes, or other incidental expenses.
3. A Travel Award certificate is good for one stay of consecutive nights, for one room only, as shown on the certificate. No credit will be issued if the stay is less than the number of days shown on the face of the certificate.
4. Guests must present and surrender the certificate at check-in.
5. Travel Award certificates are not redeemable for cash and will be considered void if sold for cash or other consideration. Travel Award certificates may be supplemented by payment of cash, acceptable checks, or valid credit card.
6. Travel Award certificates are not replaceable if lost, stolen, destroyed, or expired.
7. Travel Award certificates are transferable and valid for 15 months from the date of issuance.
8. Certain Travel Award certificates are subject to blackout periods as stated on the certificate. To confirm blackout periods, call Marriott Worldwide Reservations or the hotel directly.

Benzina, a.s. Grand Kartas
1. The Benzina Grand Kartas are available in denominations of 300 CZK, 500 CZK, 700 CZK, 1,000 CZK.
2. Benzina Grand Kartas will be accepted at all Benzina retail locations throughout the Czech Republic.
3. Benzina Grand Kartas are single-use cards and no credit will be issued if the full face value of the Grand Karta is not used.
4. Benzina Grand Kartas are valid for a period of one year.
5. Benzina Grand Kartas are transferable.

Czech Railways "Kilometrická Banka"
1. Czech Railways "Kilometrická Banka" certificates are available in 2 000 kilometer denominations.
2. Customer is responsible for any additional ticket fares or charges incurred for travel beyond the 2,000 km "Kilometrická Banka" limit.
3. No credit will be issued by Czech Railways if the full face value of the "Kilometrická Banka" is not used.
4. "Kilometrická Banka" certificates are valid for six months from date of issuance.
5. "Kilometrická Banka" certificates are transferable.
6. Additional information regarding usage regulations will be provided on the printed "Kilometrická Banka" certificates.

Čedok Travel Certificates
1. Čedok Travel Certificates are available in 1,000 CZK increments.
2. Čedok Travel Certificates will be accepted at all company-owned Čedok retail locations throughout the Czech Republic.
3. Čedok Travel Certificates are single-use certificates and no credit will be issued if the full face value of the Čedok certificate is not used.
4. Customer is responsible for any additional travel fees, fares or incidental charges incurred for beyond the original certificate value.
5. Čedok Travel Certificates are valid for a period of one year from the date of issuance.
6. Čedok Travel Certificates are transferable.

British Airways Travel Certificates
1. British Airways Travel Certificates are available in denominations of 5,000 CZK 11,000 CZK, 24,000 CZK, 36,000 CZK and 60,000 CZK.
2. British Airways Travel Certificates can be used as payment or partial payment for any airline ticket or other services offered by British Airways.
3. British Airways Travel Certificates will be accepted at all British Airways ticketing locations worldwide. EuroTel BENEFIT members may also call 02/2211 4444 for assistance when booking their travel arrangements.
4. Customer is responsible for any additional travel fees, fares or incidental charges incurred beyond the original certificate value.
5. British Airways Travel Certificates are valid for a period of one year from the date of issuance.
6. British Airways will issue certificates for any unused balance of original certificate. Reissued travel certificates are also valid for a period of one year from the date of issuance. Certificates can´t be exchanged for cash.

ABA Assistance Card
1. ABA Assistance cards make it possible to utilize technical assistance services on roads and motorways in Czech Republic and the rest of Europe in case of emergency (breakdown, accident). Additional discounts can be utilized in the territory of the Czech Republic from ABA´s Everyday Services Program.
2. ABA service operates 24 hours-a-day, all-year-round.
3. Customer can choose one of two cards: Standard and Premium. Both cards are valid for one year.
4. The services are provided in compliance with the "General Conditions of ABA".

LEISURE REWARDS
BENEFIT Dining Certificates
1. Dining certificates are available in denominations of 500 CZK, 1,000 CZK, 2,500 CZK and 5,000 CZK and are valid at the following participating restaurants:
Prague: Ambiente Paste Fresca Restaurant, Ambiente-The Living Restaurant, Bazaar-mediterranée, Barock, Bellevue, Buffalo Bill´s Tex Mex Bar & Grille, Bumerang Bar & Grill, Circle Line Brasserie, Cornucopia Sports Café, Corona Bar & Restaurant, Jewel of India, Kampa Park, Klub architektů, La Cambusa, La Perle de Prague, La Provence, Le Café Colonial-Ambiente Restaurant, Mecca, Pálffy Palác, Restaurant Jáma, Restaurant Nebozízek, Restaurant Viktorka, U Modré kachničky, U Patrona, Vinárna V Zátiší.

4. Dining certificates may be supplemented by payment of cash or valid credit card where acceptable.
5. Dining certificates are transferable and are valid for a period of one-year from date of issuance.
6. Participating restaurant partners are subject to change without notice.

Royal Fishing and Orvis
1. Customers will receive a certificate in the value of 11,000 CZK for Orvis fishing equipment of their choice at the following address: Royal Fishing, Rašínovo nábřeží 36, Praha 2.
2. No credit will be given by Orvis if the full face value of the certificate is not used.
3. Orvis gift certificates are transferable and valid for a period of one year.

TicketPro
1. TicketPro gift certificates are available in denominations of 1,000 CZK, 2,200 CZK, 5,000 CZK and 36,000 CZZzK.
2. TicketPro gift certificates are transferable and have no expiration date.
3. TicketPro gift certificates will be honored at all participating TicketPro outlets in the Czech Republic.
4. No credit will be given by TicketPro if the full face value of the certificate is not used.

NIKE Gift Certificates
1. NIKE Gift Certificates are available in denominations of 2,200 CZK, 3,500 CZK and 5,000 CZK.
2. NIKE Gift Certificates will be accepted only for the purchase of NIKE branded shoes, apparel, equipment and accessories. Certificates will be accepted at the following NIKE retailers in the Czech Republic:

Kodak Camera and Film Package
1. Kodak Camera and Film Package consists of the following:
One Kodak camera KB-30, one Kodak Fun Classic single-use camera, a roll of 24 exposure 200 ASA color film and one Kodak Card entitling the customer to discounts of 10% on film developing and developing of pictures of all formats and 5% on other retail purchases at participating Kodak retail outlets.
2. Customer can redeem his or her Kodak Camera and Film Package certificate at any participating Kodak Express retail outlet.
3. Kodak can substitute offered products with products of the same or higher value in the case of change in their production line.
4. Kodak Camera and Film Package certificates are transferable and are valid for one year from date of issuance.

Bonton
Bonton Music Rewards (301, 302, 309)
1. Customers will receive certificate(s) and a current "Svět hudby a videa" catalog from which they make their selection.
2. Customers who require a new catalog can call customer service number * 70.
3. Customers mail their order directly to the "Svět hudby a videa" music club.
4. Purchase price may not exceed the value of the certificate and no credit will be given by Bonton if the full face value is not used. Customers will receive their rewards by mail.
5. EuroTel and BENEFIT are not responsible for any lost, stolen, damaged or otherwise undeliverable Bonton merchandise. All inquiries of this nature are to be directed to: "Svět hudby a videa", V Jámě 1, 111 21 Praha 1, tel: 02/2422 2242.
6. Certificates are transferable and valid for one year.
Bontonland Gift Certificate (316, 318)
1. Bontonland Gift Certificates are available in the 11,000 CZK and 24,000 CZK denomination.
2. Bontonland Gift Certificates will be honored as payment for any merchandise offered to the general public at all participating Bontonland outlets in the Czech Republic.
3. No credit will be given by Bontonland if the full face value of the certificate is not used.
4. Certificates are transferable and valid for half a year.
Bontonland /SONY (320, 321)
1. The following Bontonland/SONY electronics rewards are available:
SONY DVD Player and a set of DVD Movies (not to exceed 36,000 CZK gift value), and SONY Mini-System and 10 MCs, CDs or MDs (not to exceed 60,000 CZK gift value).
2. Customers will receive a personalized letter and/or gift certificate that must be surrendered to the store manager upon redemption at Bontonland.
3. Customer is responsible for bringing their certificate to a participating Bontonland gift location to redeem for their reward.
4. Customer acknowledges that some orders may require special shipping from SONY Corporation, and therefore may not be available at the time of redemption.
5. Certificates are transferable and valid for half a year.

Czech Squash Association
1. Czech Squash Association certificates are available in 1,000 CZK and 3,500 CZK increments.
2. Czech Squash Association certificates can be used to reserve and purchase court times or equipment.
3. Czech Squash Association certificates are transferable and have one year expiration date.
4. Czech Squash Association will be honored at the following Czech Squash Association outlets within the Czech Republic, Brno: Squash S - 66 Dandelion, Squash Slovan, Ostrava: AVÍZO Squash club, Plzeň: ESQUO - ASC Squash, Praha: Squashcentrum Strahov, Squashpoint, Svatováclavský squash.
5. No credit will be given by Czech Squash Association if the full face value of the certificate is not used.
6. Participating squash locations are subject to change without notice.

Grandhotel Pupp, Karlovy Vary
1. Customers will receive a personalized letter and/or gift certificate that must be surrendered to the Front Desk Manager upon redemption at Grandhotel Pupp, in Karlovy Vary.
2. Customers must call the reservations desk at Grandhotel Pupp to reserve accommodations at least one week prior to their visit.
3. Weekend Getaway for Two certificate entitles the customer to the following: Two nights stay at Studio de Luxe, 4 breakfasts at the Mirror Room, 6 meals (2 dinners on Friday, 2 lunches on Saturday, 2 dinners on Saturday), 2 000 CZK credit for drinks, 2 full-body massages in the Relax center, 2 sessions at the solarium, 2 spa visits.
4. Any expenditures above the credit for drinks as well as expenditures above the services mentioned above have to be paid by the guest prior to or upon departure from Grandhotel Pupp.
5. The weekend stay begins on Friday at 2 p.m. and ends on Sunday at noon.
6. No credit will be given by Grandhotel Pupp if the full face value of the certificate is not used.
7. The weekend stay will not be available at the periods between 02/07/99 - 10/07/99 and 27/12/99 - 02/01/00.
8. Some hotel amenities and spa services are subject to availability and subject to change without notice.
9. Gift certificate cannot be exchanged for cash.
10. The reservation depends upon room availability and if there is no vacancy available at the hotel for the period desired, the hotel will offer the customer an alternative period of stay.
11. Certificates are transferable and valid for one year.
